1. Parties
These terms apply between Galactic Automation BV ("we", "us") and the educational institution subscribing to EduVlaanderen ("the school").
2. Subject
We provide the school access to the EduVlaanderen platform as Software-as-a-Service, hosted on our infrastructure at Hetzner Online GmbH in Germany.
3. Pricing and invoicing
Pilot tier: €4.50 per student per year during the first school year (half price). Standard tier: €9 per student per year, invoiced per trimester based on active students on the first school day of the trimester. Plus tier: €12 per student per year, same invoicing cycle.
Prices exclude VAT. For Flemish schools the VAT education exemption (Art. 44 §2 1° Belgian VAT Code) applies where relevant.
4. Duration and termination
The agreement runs per school year (1 September – 31 August). Termination is possible per trimester with one month's notice. No pro-rata refund during a running school year, but the school retains access until the end of that year.
Upon termination, the school keeps 90 days of export access to all its data in CSV and JSON formats.
5. Availability and SLA
We guarantee a monthly uptime of 99.5% excluding scheduled maintenance. Scheduled maintenance is announced at least 5 business days in advance and takes place outside school hours (after 7pm or weekends).
Failure to meet monthly SLA: pro-rata credit on the next invoice, applied automatically.
6. Personal data processing
We act as processor under GDPR. The school is controller. A separate data processing agreement (GDPR Art. 28) is signed at contract signing.
We commit to: not processing data outside the school's instructions, not using sub-processors outside the EU without prior consent, and informing the school within 24 hours of any data breach.
7. Liability
Our liability is limited to direct damages and capped at the amount the school paid us in the twelve months preceding the incident. Indirect damages (lost profits, reputational damage, consequential loss) are excluded, except in case of wilful misconduct or gross negligence.
These limitations do not apply to GDPR violations, personal injury or death due to our negligence, or mandatory law.
8. Intellectual property
The EduVlaanderen software, including all source code, designs and documentation, remains the property of Galactic Automation BV. The school receives a non-exclusive, non-transferable usage right for the duration of the agreement.
Data entered by the school (students, assignments, reports, communication) remains entirely the property of the school. We claim no rights to this data.
9. Governing law
This agreement is governed exclusively by Belgian law. Disputes that cannot be resolved amicably are submitted to the competent court of the Oost-Vlaanderen district, Oudenaarde division.
